Company registration in Azerbaijan allows foreign individuals and international companies to establish and operate a legally recognised business in the country. Foreign investors may generally own 100% of an Azerbaijani company without appointing a local shareholder, except where sector-specific restrictions apply.
The Limited Liability Company (LLC) is the most commonly selected legal structure because it provides separate legal personality, limited liability and a flexible management structure. An LLC may be established by one or more local or foreign individuals or legal entities.

Yes. Foreign individuals and foreign legal entities may establish companies in Azerbaijan and generally enjoy the same company registration rights as local founders.
A foreign founder may usually own 100% of an Azerbaijani Limited Liability Company without appointing a local shareholder. However, additional restrictions, licensing requirements or capital rules may apply to regulated activities such as banking, insurance, telecommunications and certain financial services.

A Joint Stock Company is generally more suitable for larger businesses, regulated activities or companies planning to raise capital through shares. Azerbaijani law provides for open and closed joint stock companies.

A representative office represents and protects the interests of its foreign parent company. It is generally not intended to conduct independent commercial activity.
A subsidiary is not a separate organisational and legal form. It is usually an Azerbaijani legal entity, most commonly an LLC, whose shares are wholly or partly owned and controlled by a parent company.

A foreign company may establish an Azerbaijani legal entity, most commonly an LLC, and hold all or part of its shares. The Azerbaijani company will be a separate legal entity and may operate as the foreign parent company’s subsidiary.

A subsidiary is generally taxed as an Azerbaijani resident legal entity. Subsidiary status alone does not automatically provide a reduced tax rate or tax exemption. The tax treatment depends on the company’s activities, turnover, related-party transactions, applicable tax treaties and sector-specific incentives.
Determine whether an LLC, joint stock company, branch or representative office is the most appropriate structure for the planned activity.
Identify the individual or corporate founders, their ownership percentages and the company’s ultimate beneficial owners.
Select the proposed company name and define the company’s principal and additional business activities.
Every Azerbaijani company must have a registered legal address. Supporting documents or the property owner’s consent may be required.
Prepare the charter, establishment decision, director appointment documents, application forms and Power of Attorney where applicable.
Documents issued outside Azerbaijan may require an apostille or consular legalisation and must generally be translated into Azerbaijani and notarised.
Submit the completed application and supporting documents to the State Tax Service.

The address is used for official registration, correspondence and communication with public authorities. The founder may use suitable owned or leased premises or obtain legal address support from a service provider.

The company must appoint a legal representative, commonly referred to as the director or general director. A local Azerbaijani shareholder is not generally required for an ordinary LLC.
Where a foreign national acts as the director or performs employment duties in Azerbaijan, applicable immigration, residence and work authorisation requirements should be considered separately.
